Your Hong Kong entity is nearly ready. The sales contract is waiting. But who has accepted responsibility for the Hong Kong-law questions?

That is a procurement question worth settling before the legal engagement begins.

For a company expanding across borders, the scope of the legal work it buys deserves a clear place in the engagement.

A Hong Kong Registered Foreign Lawyer designation should not be treated as a complete description of the advice available for your transaction. Specific practice permissions and local legal questions should be confirmed with local counsel under the law currently in force.

As a cross-border lawyer, I would focus the engagement discussion on one document: a one-page scope attached to the engagement letter.

Start with the business decision it must support. “Review the proposed sales agreement for execution by our Hong Kong entity” is a more useful starting point than “support international expansion.”

Then connect that decision to the deliverable. Will the company receive a marked-up contract, an explanation of material risks, or both? Which jurisdiction’s law will the review address? If additional local advice is needed, who arranges it and how is the extra work approved?

“We work with local counsel” describes a relationship. It does not, by itself, tell the client whether anyone has accepted the local-law assignment on this particular matter.

The handover matters too. If two lawyers provide separate comments, who will reconcile them into something the company can use? A project lead can coordinate that process without claiming authority to advise on every law involved.

A useful scope can acknowledge limits. The commercial problem is an undisclosed gap that appears when the business is ready to sign.

If you are setting up a Hong Kong structure for an operating business, start by writing down the decision your legal spend must support. You are welcome to share that context with me so we can clarify the assignment.
