If your company is preparing to invest in ASEAN, the China–ASEAN legal cooperation initiative launched in November 2024 is encouraging—but it is not a substitute for country-by-country legal clearance.

ASEAN is a regional framework, not a single jurisdiction. A factory investment, acquisition, or e-commerce expansion may face different rules on foreign ownership, land use, licensing, employment, tax, data, and dispute resolution in each market.

Consider two paths.

In the first, the founder pays a deposit personally to secure a site. The group later decides that a Hong Kong entity will hold the shares, while a local operating company signs the lease and employs staff. Nothing may appear wrong while the project performs well. If financing fails or a shareholder exits, however, the group may struggle to prove whether the deposit was a loan, equity contribution, or personal payment—and who owns the resulting rights.

In the second, the company maps the controlling person, investment vehicle, funding route, local project company, asset ownership, and exit route before sending money. Chinese counsel reviews the outbound side; local counsel confirms the host-country requirements. This takes more work at the beginning but prevents expensive restructuring later.

The same scenario analysis should be applied to dispute clauses. “Friendly consultation” is not an enforcement plan. Choosing a famous arbitration venue is also insufficient if the counterparty has no reachable assets there. Draft backward from default: where are the goods, shares, accounts, guarantees, and operating assets?

My practical experience in cross-border e-commerce has made one point clear: commercial teams naturally move toward the market first. For a capital investment, the legal and funding structure must arrive before the wire transfer.

Start with a one-page investment map. If ownership, money, assets, and exit do not align, pause the payment. Host-country issues should always be confirmed with qualified local counsel under current law.

If you are structuring an ASEAN investment, send me the proposed entity and funding map. We can identify the questions that need answers before commitment.
